1. Acceptance of Terms

By accessing or using the Vertex platform, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use the platform. These terms apply to all users, including individual developers, teams, and enterprise subscribers.

2. Platform Access and Use

Vertex grants you a limited, non-exclusive, non-transferable license to access and use the platform in accordance with your subscription tier. You may not reverse engineer, resell, or redistribute any component of the platform. You are responsible for maintaining the confidentiality of your API keys and account credentials.

3. Code and Data Privacy

Code submitted to Vertex for analysis or generation is processed solely for the purpose of providing the requested service. Vertex does not use your proprietary code to train models without explicit written consent. Enterprise subscribers may request a Data Processing Agreement (DPA) that governs the handling of their code and data.

4. Reserve Disclosures

Vertex's commodity reserve backing is provided for informational and stability purposes only. Reserve valuations are published monthly and are subject to commodity market fluctuations. Vertex does not represent that subscriptions constitute an investment in commodities, and no financial returns are guaranteed. Reserve disclosures do not constitute financial advice.

5. Acceptable Use

You may not use Vertex to generate malicious code, circumvent security systems, produce content that violates applicable law, or engage in any activity that could harm Vertex or its users. Violations may result in immediate account termination without refund.

6. Limitation of Liability

Vertex is provided on an "as is" basis. To the maximum extent permitted by law, Vertex disclaims all warranties, express or implied. Vertex shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform, including but not limited to loss of data, revenue, or business opportunities.

7. Governing Law

These Terms are governed by the laws of the British Virgin Islands, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved by binding arbitration in accordance with the rules of the International Chamber of Commerce.

8. Changes to Terms

Vertex reserves the right to modify these Terms at any time. Material changes will be communicated to subscribers via email and platform notification at least 30 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
